1. Services
We provide AI consulting, enterprise integration, custom AI agent development, AI training, workflow automation, and related technology services. All services are delivered digitally via remote collaboration, video conferencing, and electronic document delivery.
2. Orders and Payment
All prices are listed in USD unless otherwise stated. Payment is processed securely through our authorized payment processor (Airwallex). By placing an order, you agree to provide accurate and complete billing information. An order is confirmed only upon successful payment processing and our written acknowledgement.
3. Service Delivery
Upon confirmed payment, we will contact you within 2 business days to schedule the initial engagement. Delivery timelines vary by service type and will be communicated during the onboarding process. We will use commercially reasonable efforts to deliver services within the agreed timeframe.
4. Intellectual Property
All custom development work product, including code, documentation, models, and deliverables, shall be transferred to the client upon full payment. Our proprietary methodologies, frameworks, pre-existing tools, and training materials remain the intellectual property of HaloTech International Trading Limited.
5. Client Responsibilities
You agree to: (a) provide timely access to necessary systems, data, and personnel; (b) designate a primary point of contact for the engagement; (c) provide feedback within agreed timescales; (d) not share access credentials or deliverables with unauthorized third parties.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of any service agreement.
7. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.
8. Cancellation
You may cancel an order before service delivery commences for a full refund. For details, please refer to our Refund Policy.
9. Modifications
We reserve the right to update these Terms at any time. Changes take effect upon posting to the Website. Continued use of the Website after changes constitutes acceptance of the revised Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
